The following Terms and Conditions only relate to center gift cards being issued by EML from October 2018 onwards.

IMPORTANT INFORMATION: Please read this Agreement carefully before using your Card. Your purchase and use of this Card constitutes your agreement to these terms and conditions.

The Terms and Conditions at I govern the relationship between Us ( EML) and You (the Cardholder).


1. Definitions & Interpretation

These terms and conditions relate to the use of your Card(s) as amended from time to time.

Available Balance:
The value of unspent funds loaded onto your Account and available to use.

Business Day:
Monday to Friday, 9am to 5pm CET, excluding bank and public holidays in Germany.

The prepaid card issued to you to be used in accordance with this agreement.

The Purchaser of the Gift Card and all subsequent holders of the Gift Card.

Customer Services:

The contact centre for dealing with queries about your Card and Account.

A retailer or any other person that accepts the Gift Card.

Using your Card to make a payment, or a purchase of goods or services from a Merchant in the allowed centre where payment is made (in whole or in part) by use of your Card.

2. Your Gift Card

2.1. The Gift Card is a prepaid non-reloadable card which you can use to make cashless payments for goods or services at any participating retailers in ECE operated Shopping Centres in Germany ("ECE Centers”) which are participating in the program.

2.2. Your Card is not a credit, charge or debit card or connected in any way to your bank account. You cannot use the Card to withdraw money at an ATM.

2.3. Certain limits apply to the Card. A maximum value of €100 may be loaded onto the Card and the minimum load value is €10. Additional amounts may not be loaded onto the Card at any time and interest will not be payable in respect of Card balances.

2.4. We reserve the right to refuse to accept any particular loading transaction. Upon receipt and clearance, your funds will be available for use on the Gift Card without delay.

2.5. You may use the Card, in accordance with any instructions issued by us from time to time, until your Available Balance reaches zero, at which point this Agreement will automatically terminate and your right to use the Card will cease.


3. Using Your Card

3.1. Ensure that you know the balance on your center gift card. The center gift card can only be used if there is a sufficient amount on the gift card available. The center gift card cannot be used to withdraw money at ATMs. The maximum amount of a transaction is the entire balance/amount loaded onto the gift card.

3.2. You can check the balance online at www.centergutschein.com/guthaben, by scanning the QR code, or by calling the number indicated on the back of the card. You can also inquire about your card balance, if available, at the customer information desk, gift card vending machine or center management office of a participating ECE center or at the participating retailer, who will check it using the card reader prior to your purchase. It may be the case that some participating retailers cannot conduct this in-store balance check.

3.3. The center gift card can be used for multiple purchases until its balance reaches €0. Purchase amounts are subtracted from the balance of the center gift card.

3.4. In the event that the available amount on your prepaid card is less than the purchase amount, some merchants may not allow you to combine multiple payment types (such as cash, cheque or another payment card) to complete the transaction.

3.5. You can use the center gift card at any participating merchant who accepts Mastercard prepaid cards to make purchases in-store.

3.6. We accept no liability if a Merchant refuses to accept payment using the Card.

3.7. Your use of the Card is subject to the applicable Fees detailed in the Fees & Limits Schedule, which shall be deducted from the Available Balance.

3.8. You must not use the Card must for:

i. pre-authorised regular payments; or
ii. transactions at self-service petrol pumps
iii. any illegal purposes


4. Authorising Transactions

4.1. You will need to authorise each Transaction so that we can check it is genuine by, where applicable, signing a sales voucher or providing the Card details and/or providing any other details requested.

4.2. The time of receipt of a Transaction order is when we receive it. If a Transaction order is received after 4pm on a Business Day then it will be deemed to have been received on the next Business Day.

4.3. We will pay the funds required by the retailer or merchant to cover the transactions authorised by you within three (3) days of us receiving their request. A transaction will be received at the time we receive the transaction instruction from the merchant acquirer.


5. Managing & Protecting Your Card

5.1. We recommend that you check Your balance on a regular basis as it is updated on an instant basis.

5.2. You must not give your Card to any other person or allow any other person to use it. You are responsible for your Card and any related security details and must take all reasonable measures to keep them safe and entirely confidential.

5.3. Failure to comply with this condition 5 may affect your ability to claim any losses in the event that we can show that you have intentionally failed to keep the information safe or you have acted fraudulently, with undue delay or with gross negligence. In all other circumstances your maximum liability shall be as set out below at clause 10.

5.4. If you believe that someone else has your Card without your permission, you must contact Customer Services immediately. The Customer Services details are set out under Clause 1 above.


6. Cancellation

6.1. You can cancel your Gift Card by visiting the customer service desk at any participating ECE shopping centre in Germany. If you cancel your Gift Card, once all transactions and fees have been deducted, we will arrange for any unused funds to be refunded to you. A Redemption Fee may be charged, if applicable.

6.2. Once we have received all necessary information from you (including relevant due diligence information) and all Transactions and applicable fees and charges have been processed and deducted, we will refund any Available Balance to you provided that:

i. you have not acted fraudulently or with gross negligence or in such a way as to give rise to reasonable suspicion of fraud or gross negligence; and
ii. we are not required to withhold your Available Balance by law or regulation, or at the request of the police, a court or any regulatory authority.

6.3. Once your Card has been cancelled, it will be your responsibility to destroy your Card.


7. Expiry, Redemption & Account Maintenance Fee

7.1. The Gift Card will expire three (3) years from the end of the calendar year in which it was purchased and activated (the Expiry Date). After the Expiry Date, you cannot use the Gift Card, but you can request to redeem any unspent funds through the redemption process. A Redemption Fee may be charged as per the Fees Schedule below.

7.2. Notwithstanding any expiry date, you can terminate this agreement at any time and the funds on your Card shall be available for redemption by contacting Customer Services at any time. When we process your redemption request, we may require you to provide us with information and/or documents in order to verify your Personal Details in accordance with legal requirements. We will charge a redemption Fee if you request redemption of all your Available Balance before the expiry date on your Card or more than 12 months after the expiry date on your Card. Redemption Fees are set out under the Fees Schedule.

7.3. In order to redeem Your available funds, the Cardholder must complete a redemption form provided by the ECE Shopping Centre or the Issuer.

7.4. Any redemption will be remitted only to the Cardholder by transfer to the bank account nominated by the Cardholder on the redemption form.

7.5. A request for redemption may take up to thirty (30) days to process, though we will make reasonable efforts to process the request sooner.

7.6. A redemption prior to the Expiry Date will also terminate the Cardholder Agreement.

7.7. If your Card is lost, stolen, or damaged, and you seek a Replacement Card prior to the expiration date of your original Card, then a Fee will be charged as per the Fee Schedule below.

7.8. After expiry an Account Maintenance Fee (AMF) fee of €2.50 per month will be automatically deducted from any remaining funds on expiry of the Card. In the event of redemption after expiry, this fee will be reimbursed, in the amount in which it was deducted, until 36 months after expiry.


8. Termination or Suspension of your Card and Account

8.1. We may terminate this agreement at any time:

i. with immediate effect if:

a. we reasonably suspect that the security of the Card has been compromised or that you, or any third party have used, or intend to use the Card in a grossly negligent manner or for fraudulent or other unlawful purposes; or
b. we cannot process your transactions due to the actions of third parties; or
c. you have breached this Agreement.

8.2. We can suspend your Card at any time with immediate effect (and until your default has been remedied or the Agreement terminated) if:

i. you have breached this Agreement or we have reason to believe that you have used, or intend to use the Card in a grossly negligent manner or for fraudulent or other unlawful purposes or if we cannot process your transactions due to the actions of third parties.

8.3. In the event that we do suspend or terminate your Card then, where lawfully permitted, we shall notify you in advance or as soon as possible afterwards. We may advise anyone involved in the Transaction if a suspension has taken place


9. Loss or Theft of your Card

9.1. You are responsible for protecting your Card as if it were cash in your wallet – if it is lost or stolen, you may lose some or all of the money on your Card. in the same way as if you lost your wallet.

9.2. If you know or suspect that a Card is lost or stolen or that any Card related security details are known to an unauthorised person or you think a transaction has been incorrectly executed, you must contact us without delay by calling Customer Services or by speaking to a customer information desk or center management of a participating ECE center.

9.3. You shall be liable for up to a maximum of €50 of losses due to unauthorised transactions made before you informed us about the theft or loss of the Card. If our investigations reveal that you authorised a disputed transaction or that you acted fraudulently or negligently (for example, by not keeping your Card safe), you may be liable for any loss we suffer due to use of the Card.

9.4. Once a loss or theft is reported, use of the Card shall be blocked to avoid further losses.

9.5. Until a request is made to block the card in this manner, the issuer will not be held liable in any way and refunds of payments will not be permitted regardless of whether the cardholder is at fault. Payments made before a card block request is received can therefore be charged against the card’s balance. The issuer is not required to provide evidence of payments being authorized or executed as due.

9.6. After requesting a card block, the issuer will be liable for transactions taking place after receipt of the request. The issuer’s liability will be limited to the balance available on the center gift card at the time the request is received. Generally, as a cardholder, you are not liable for losses, damages, or the issuer’s entitlements to compensation. However, if you act maliciously, you will also be liable for losses after requesting a card block.

9.7. You agree to cooperate with our agents, any supervisory authority, the police and us if your Card is lost, stolen or if we suspect fraudulent use of the Card.

9.8. We will refund the amount of any unauthorised or incorrectly executed Transaction immediately unless we have any reason to believe that the incident may have been caused by a breach of this Agreement, through gross negligence or we have reasonable grounds to suspect fraud.

9.9. We recommend that you check the balance on your Gift Card regularly online at the Website.


10. Payment Disputes

10.1. If you dispute a Transaction that you have authorised and which has been processed on your Card, you should settle this with the person you bought the goods or services from. We are not responsible for the quality, safety, legality or any other aspect of goods or services purchased with your Card.

10.2. Once you have used your Gift Card to make a purchase we cannot stop that transaction.

10.3. Refunds for returned goods may be processed back onto the Gift Card, subject to the retailer’s policies.

10.4. Refunds onto the Gift Card may take up to 10 days to be credited back to the card in accordance with the retailer’s banking process and this time period is not something We control.


11. Our Liability

11.1. We shall not be liable for any loss arising:

i. from any default resulting directly or indirectly from any cause beyond our control, including but not limited to, a lack of funds and/or failure of network services and failure of data processing systems;
ii. from any loss of profits, loss of business, or any indirect, consequential, special or punitive losses;
iii. for goods or services that are purchased with the Card; and
iv. for any damages due to loss, fraud or theft that you have reported to us after 13 months of the event.

11.2. Where the Card is faulty due to our default, our liability shall be limited to replacement of the Card;

11.3. Where sums are incorrectly deducted from your Available Balance due to our default, our liability shall be limited to payment to you of an equivalent amount.

11.4. To the extent permitted by law, all conditions or warranties implied by law, statute or otherwise are expressly excluded

11.5. The above exclusions and limitations set out in this paragraph shall apply to any liability of our affiliates such as the Schemes, and other suppliers, contractors, distributors and any of their respective affiliates (if any), to you, which may arise in connection with this Agreement.


12. Complaints

12.1. The Gift Card is managed by EML Payments Europe Limited. ECE is an E- money distributor who sells the Gift Cards in participating shopping centres operated by ECE.

12.2. If you are unhappy in any way with your Gift Card or the way it is managed, you should first contact ECE at the customer service desk or center management of any participating shopping centre.

12.3. If having received a response from the ECE Customer Services team you are unhappy with the outcome you can escalate your complaint to cardsupportemlpaymentscom so we can investigate the circumstances for you. Any complaints you have will be dealt with quickly and fairly.

12.4. In the unlikely event that we are unable to resolve your issue you have the right to refer your complaint to the Federal Financial Supervisory Authority, Graurheindorfer Str. 108, 53117 Bonn and Marie-Curie-Str. 24-28, 60439 Frankfurt am Main about violations by the Issuer of the provisions of the German Payment Services Regulation Act (Zahlungsdiensteaufsichtsgesetz, ZAG), § 675c to § 676c of the German Civil Code (Bürgerliches Gesetzbuch) and art. 248 of the Introductory Act to the German Civil Code (Einführungsgesetz zum Bürgerlichen Gesetzbuch).

12.5. Alternatively, You can seek a remedy according to § 14 of the Injunctive Relief Act (Unterlassungsklagengesetz) at the arbitration board of the German Federal Bank (Deutsche Bundesbank) (P.O. box 11 12 32, 60047 Frankfurt am Main).

14. Changes to the Terms and Conditions

14.1. We may update or amend this Agreement (including our Fees & Limits Schedule). Notice of any changes will be given on the Website at least 2 months in advance.

14.2. If you do not agree with the changes to the Agreement, you may at any time within the notice period terminate your Agreement in accordance with our cancellation policy (see clause 6) and can redeem any unused Available Balance at that time. You will be deemed to have accepted any change to these terms and conditions unless you notify us of any objection before the proposed date of the change.

14.3. If any part of this Agreement is inconsistent with any regulatory requirements then we will not rely on that part but treat it as if it did actually reflect the relevant regulatory requirement. If we need to make operational changes before we can fully comply with the new regulatory requirement, we will make those changes as soon as reasonably practical. We will update our Agreement to reflect the new regulatory requirements when they are next reprinted.


15. Miscellaneous

15.1. This Agreement is governed by German law and you agree to the non-exclusive jurisdiction of the courts of Germany.

15.2. Any delay or failure to exercise any right or remedy under this Agreement by us shall not be construed as a waiver of that right or remedy or preclude its exercise at any subsequent time.

15.3. The Card is an electronic money (e-money) product and although it is a product regulated by the Central Bank of Ireland, no compensation scheme exists to cover losses claimed in connection with the Gift Card. We will, however, safeguard funds so that they are protected in accordance with applicable law if we become insolvent.

15.4. If any provision of this Agreement is deemed unenforceable or illegal, the remaining provisions will continue in full force and effect.

15.5. You may not assign or transfer any of your rights and/or benefits under this Agreement and you shall be the sole party to the contract between us. You will remain liable until all Cards issued to you are cancelled or have expired and all sums due under this Agreement have been paid by you in full. We may assign our rights and benefits under this Agreement to a third party and may subcontract any of our obligations under this Agreement.

A. Terms and conditions for purchase in a center by a consumer

The terms and conditions in part A apply to purchases of gift cards in the center by consumers for private purposes; they apply alongside the terms and conditions in part D.1. Purchasing the center gift card

1. Purchasing the center gift card

You can purchase your center gift card at the points of sale marked out at the participating centers, including the customer information desk, or, if there is not one present, at the center management office or, if available, from a vending machine in the center.

2. Costs

The costs for the center gift card are based on the gift card value that you desire. The daily purchase limit of cards is €150,00per person plus administration fees.

We charge a one-time administration fee of €0.50 per gift card when purchased, which includes VAT. There are no other fees that are charged to you when paying with the gift card. The participating stores are not permitted to impose additional charges or fees on you when paying.

Purchased gift cards are issued to you at the center or in the case of a purchase from a vending machine, handed out at the vending machine.

3. Terms of payment

Purchases can be made by paying via Girocard, Maestro, V-PAY, Mastercard, or Visa. We reserve the right to accept further payment methods. Payment with cash can be refused in the centers.

The European Commission provides an online dispute resolution platform for consumers at


Companies are not obligated to participate in a dispute resolution procedure handled by a consumer dispute resolution body. EML Money DAC does not participate in this procedure.


B. Terms and conditions for company purchases in centers or via the online company customer platform

The terms and conditions in part B apply to the purchase of gift cards by companies and company representatives alongside the terms and conditions in part D. If you purchase gift cards in your capacity as a private individual (a consumer), you cannot use this option.

1. Purchasing the center gift card

You can purchase your center gift cards at the customer information desk or center management office (both referred to here as the “point of sale”) at one of the participating ECE centers or order them at a center and have them sent to you if the center offers this service. You can find out if this is possible by contacting your preferred center directly (see attachment 1 for contact details). It is also possible for you to order center gift cards online through the company customer portal. Purchases from vending machines are excluded under the terms and conditions set out below.

2. Costs

As a company, you can purchase gift cards and load a value of your choice between €5.00 and €100.00 onto the cards. An administration fee is not charged.

If the center offers gift card shipping to you, the costs for shipping will be charged to you as part of the invoicing. The shipping costs differ by center and quantity. You can find out the exact shipping costs when ordering on the company customer platform (see attachment 1 for details).

Risks associated with shipment pass to you, the customer, on handover of the gift cards to the carrier. For this reason, we suggest that when you instruct us to ship your gift cards, you choose a carrier that offers a guarantee for the shipment of the goods.

3. Terms of payment

Payment for the center gift cards is due immediately at the time of purchase when purchasing at the center’s point of sale. Purchases can be made by paying via Girocard, Maestro, V-PAY, Mastercard, or Visa. We reserve the right to accept further payment methods. You will receive an invoice.

If you purchase the gift cards by ordering on the company customer portal, shipping/collection will only take place after payment has been received. You will receive an invoice and can pay by bank transfer. You will be provided with the account details during the order process.


C. Terms and conditions for consumers for online purchases

1. Purchasing in the online store, center app, and center website

1.1. Purchasing the gift card

You can also order your gift card online via the online store, center app, or center website of selected centers. A list of these centers can be found at www.centergutschein.com.

1.2. Entry into agreement

Your completion of the order process represents a binding offer from you to ECE to enter into a purchase agreement. After clicking on “Finalize order”, payment will be made based on the preferred method of payment you have actively selected. The payment methods available to you are PayPal and credit card (Visa and Mastercard). Once the payment process is successfully complete, an order number will be allocated automatically and assigned to the gift card you have purchased; this finalizes your purchase. You will immediately receive from us a corresponding confirmation e-mail with all the important details about your purchase at the e-mail address provided by you during the order process.

You can also view these terms and conditions in the online store at any time.

1.3. Shipping and personal data

The center gift card you have ordered will be mailed to the address provided by you in accordance with your selection during the order process – however, shipping is only available within Germany. If multiple orders are placed, each order will be processed and dispatched individually. You can order a maximum of 4 gift cards with a maximum total value of €150,00 in a single order.

As part of the center gift card functionality in the ECE online store and center app, the agency Novomind AG will appear as a service provider for ECE and take charge of processing the transaction. Novomind AG will not act as your contractual partner. ECE and Novomind AG use your personal data exclusively to process your order.

The gift card that you order will be sent by registered mail (Einschreiben Einwurf, i.e. dispatched at a mailbox).

1.4. Costs

The costs for the gift card are based on the gift card’s value. You can choose a value for the gift card between €10.00 and €100.00.

When ordering center gift cards from the online store, there may be charges for an administration fee and/or shipping fee. Furthermore, there may be charges for the gift card envelope chosen by you. The total, actual charges will be indicated to you before you finalize the order during the order process.

There are no other fees that will be charged to you, including when paying with the gift card. The participating stores are not permitted to impose additional charges or fees on you when paying.

The indicated prices are in euros.

1.5. Terms of payment

The purchase price (center gift card order value including any payable administration and shipping fees and charges for a gift card envelope) is payable upon entering into the purchase agreement.

You can only pay the purchase price by PayPal or credit card (Visa/Mastercard). You cannot purchase center gift cards from the online store if you do not have a PayPal account or credit card.


2. Right to cancel purchase agreement

Purchase cancellation policy for consumers

You have the right to cancel this purchase agreement without giving reason within fourteen (14) days.

The deadline for this type of cancellation is fourteen (14) days after the day on which the goods (the center gift card) enter the possession of you or a third party nominated by you that is not the carrier.

To exercise your right to cancellation, you must inform us of your decision to cancel the agreement for the purchase by making a clear statement to this effect (e.g. by mailing or faxing a letter, by telephone, or by e-mail). You may use the sample purchase cancellation form below for this, though it is not required to do so. You can also prepare the sample purchase cancellation form or another clear statement electronically and send it using the app. If you utilize this option, we will immediately (e.g. by e-mail) send you confirmation of receipt of such cancellation.

You will meet the deadline for purchase cancellation as long as you send your notice of exercising your cancellation right before the purchase cancellation deadline passes.

Consequences of purchase cancellation

If you cancel the purchase agreement, we must immediately repay to you all payments that we have received from you within fourteen (14) days at most, counted from the day on which we receive notice of your cancellation of this purchase agreement. For this repayment, we will use the same payment method that you used for the original transaction unless another arrangement has been explicitly made with you; in no case will you be charged fees for this repayment. We may refuse to repay you until the goods (the center gift card) are returned or you provide evidence that you have sent back the goods (the center gift card), depending which comes earlier.

You must return the center gift card to our address specified above immediately and in any case within at most fourteen (14) days from the day you inform us of your cancellation of this purchase agreement; you may also return it to the information desk of the shopping center from which you purchased the center gift card via the app. You will meet this deadline if you send the center gift card before the fourteen-day deadline has passed. You will bear the direct costs associated with returning the goods. If you have chosen to pick up the center gift card and have not yet done so, you will not need to do anything else.

You will only be liable for any depreciation of the goods (the center gift card) if this depreciation is attributable to handling of the goods that is not required for inspection of the quality, characteristics, and functionality of the goods.

End of purchase cancellation policy

This right to purchase cancellation does not apply if you have purchased gift cards in your capacity as a company or company representative.


D. Supplementary terms of sale

1. Liability

a. Any entitlements to compensation are void. Exemptions are made for entitlements of yours to compensation for damages from harm to life, limb, or health or from the breach of core contractual (material) obligations; exemptions are also made for other damages that are based on an intentional or grossly negligent breach of obligation by us, our legal representatives, or agents. Core contractual obligations are obligations whose discharge is required to achieve the purpose of the agreement.

b. If core contractual obligations are breached as a result of simple negligence, our liability will be limited to the foreseeable damages typical for this kind of agreement unless your claims for compensation are the result of harm to life, limb, or health.

c.The restrictions set out in subsections 1 and 2 also apply to the benefit of our legal representatives and agents if claims are exercised against us directly.


2. Data protection

Information about data protection in accordance with General Data Protection Regulation (GDPR) article 13 can be found at the point of sale (customer information desk/center management office/Vending machine).
